FlexPerts
Terms & Conditions
Platform operated by VIVAHR People Consultants - FZCO
Version 2.3 · Last updated: September 23, 2026
The short version
These Terms are a legal agreement, but we have written them to be read. Most clauses open with a sentence in bold, beginning "In short", that says what the clause is about. Those sentences are a guide, not a substitute: if a summary and a clause ever differ, the clause applies.
- FlexPerts introduces Businesses to independent professionals, who are called FlexPerts on the Platform and "Professionals" in these Terms. We are not an employer, an agency or a party to any work you agree between you.
- Professionals never pay. Businesses pay for plans and Tokens, which they use to unlock a Professional's identity and CV and for other features. Paid plans renew until they are cancelled.
- Our software reads CVs and roles and suggests matches. Every suggestion is for a person to judge; nothing we produce decides whether anyone is hired.
- A masked version of each Professional's profile is shown publicly so Businesses can see who is here. You can switch that off in your settings.
- We do not sell your personal data. What we collect, why, and how long we keep it is in our Privacy Policy.
- If we ever disagree, we ask you to talk to us first; failing that, the DIFC Courts in Dubai decide, in English.
1.About These Terms
In short: these Terms apply to everyone who uses FlexPerts, with or without an account. These Terms and Conditions (the "Terms") govern your access to and use of the FlexPerts platform, including our website at flexperts.pro, any associated applications, and the services made available through them (together, the "Platform").
The Platform is owned and operated by VIVAHR People Consultants - FZCO ("FlexPerts", "we", "us" or "our"), a company licensed by IFZA (International Free Zone Authority), Dubai Silicon Oasis, Dubai, United Arab Emirates, Licence No. 91943, trading as FlexPerts. The independent professionals who use the Platform are also called FlexPerts on the Platform itself; in these Terms they are "Professionals" (Clause 2), so that "FlexPerts" always means us.
By registering for, accessing or using the Platform, including by using it without an account, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference and includes how we use cookies. If you do not agree, you must not use the Platform.
1.1Where these Terms apply
The Platform is operated from the United Arab Emirates. It is offered for the purpose of finding and filling flexible, fractional, part-time and project-based work in the United Arab Emirates, and in any other country that we name on the Platform as one where it is offered. It is not directed at, marketed to, or intended for people in any other country.
2.Definitions
- "Business" or "Client" means a company or individual using the Platform to find, evaluate or engage flexible, fractional or project-based talent.
- "Professional" means an independent professional, freelancer or contractor who creates a profile to be discovered by Businesses, including through the masked public listing described in Clause 7, and to apply to them. Professionals are called FlexPerts on the Platform; in these Terms, "FlexPerts" means us (Clause 1).
- "User" means any person who accesses or uses the Platform, whether or not they hold an account, including Businesses and Professionals.
- "Engagement" means any arrangement, contract or working relationship entered into directly between a Business and a Professional.
- "Platform Fees" means the fees payable to FlexPerts for access to and use of the Platform, including plan subscriptions, Tokens and any other paid feature shown on the Platform, as described in Clause 10.
- "Content" means any information or material that a User provides to, or creates on or through, the Platform, such as profile data, CVs, declarations, documents, screening videos, and messages and other communications with other Users or with us, including conversations with the Assistant.
- "Automated Processing" means the automated reading, structuring, indexing, scoring, ranking, filtering and summarising of Content described in Clause 9, whether performed by FlexPerts or by a third-party provider on our behalf.
- "AI Outputs" means the material generated by Automated Processing, including extracted structured profiles, numerical representations of text ("embeddings"), suitability scores, rankings, and written assessments of a Professional's fit for a role.
- "Derived Data" means data we generate from Content or from use of the Platform which does not identify any individual, including aggregated statistics, benchmarks, taxonomies, weightings and other insights.
- "Assistant" means the automated chat assistant made available on the Platform, described in Clause 11.
- "Unlock" means a paid action by which a Business obtains, for a limited period, access to a Professional's identity, contact details, CV and any other details the Platform withholds from Businesses until an Unlock, for a profile the Platform makes available to that Business to Unlock.
- "Screening Video" means a pre-recorded video that a Professional chooses to upload in response to a Business's request on a specific role, as described in Clause 12.
- "Token" means a unit of prepaid credit on a Business's account, bought or included in a plan, which is spent on Unlocks and on other paid features as shown on the Platform.
3.Nature of Our Service: FlexPerts Is an Introducer, Not an Employer or Agent
In short: we introduce; you decide and you contract. FlexPerts is an online marketplace and introduction service. Our role is limited to enabling Businesses and Professionals to discover one another, communicate through the Platform, and decide for themselves whether to enter into an Engagement. We are an intermediary only.
You acknowledge and agree that:
- FlexPerts is not an employer, employment agency, recruitment agency, manpower supply agency, staffing company, labour supplier, or an agent of any User;
- FlexPerts is not a party to any Engagement between a Business and a Professional, and no Engagement creates any employment, agency, partnership or joint-venture relationship with FlexPerts;
- any contract for services, scope of work, fees, deliverables, timelines and terms are agreed directly and solely between the Business and the Professional;
- FlexPerts does not supervise, direct, control or guarantee any work performed, and is not responsible for the performance, conduct, acts or omissions of any User;
- FlexPerts does not guarantee any information a User provides, including a Professional's identity, location, visa or residency status, qualifications and work history, and a Business's identity, role descriptions and terms; any check we carry out is limited, as Clause 8 explains (see also Clause 16); and
- nothing produced by the Platform is a recommendation to engage, hire or reject any person. Every output of the Platform is a suggestion for a human to evaluate, and the decision is always the Business's own. Clause 9 describes what the Platform does automatically.
Each Business and Professional is solely responsible for ensuring that any Engagement complies with all applicable laws, including the labour, immigration, work-permit, licensing and tax requirements that apply where the work is done. FlexPerts gives no advice on, and accepts no responsibility for, the legal characterisation of any Engagement, including any question of employee versus independent-contractor classification. Any information the Platform or the Assistant gives about a law, including an automated summary of employment law, is general information only, may contain errors, and is not advice or a recommendation (Clause 11).
4.Eligibility and Accounts
In short: you must be 18 or over, tell us the truth, and look after your own sign-in.
- You must be at least 18 years of age to use the Platform. The Platform is not directed at, and may not be used by, anyone under 18. If we learn that an account belongs to someone under 18 we will close it and delete the associated personal data.
- If you register on behalf of a company, you confirm that you are authorised to bind that company to these Terms.
- One account is one role. An account is either a Professional's profile or a Business account, fixed when it is created. If you need both, you will need a separate account for each, with a different email address, unless the Platform offers you another route.
- You agree to provide accurate, current and complete information when creating an account, and to keep it up to date.
- You are responsible for maintaining the confidentiality of your sign-in credentials and codes, and for all activity under your account.
- You must notify us promptly at hello@flexperts.pro of any unauthorised use of your account.
5.Acceptance, Versions and Changes to These Terms
In short: we keep a record of what you agreed to, we tell you before a change that reduces your rights takes effect, and no change is ever retroactive.
- We record the version of these Terms and of the Privacy Policy that you accepted, the wording you were shown, and when you accepted it, and we keep previous versions available.
- We may update these Terms from time to time. Where a change materially reduces your rights or increases your obligations, we will give you notice before it takes effect, by email, by an in-Platform notice, or both. Where the law requires your agreement to a change, for example a new purpose for using your personal data, we will ask for it.
- Any other change takes effect when it is published. The "Last updated" date at the top shows when these Terms last changed, and each published version is kept.
- Your continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a change, you may close your account before it takes effect. No change applies to anything that happened before it took effect.
6.User Obligations and Warranties
6.1All Users
In short: be honest, be lawful, and do not try to get around the Platform's protections. You warrant that you will use the Platform lawfully and that all Content you provide is true, accurate and not misleading. You, not FlexPerts, are responsible for the Content you provide and for what you do with anything you obtain through the Platform. You must not:
- post false, fraudulent, defamatory, infringing or unlawful Content;
- impersonate any person, or misrepresent your identity, qualifications or affiliation;
- upload anyone else's personal data without a lawful basis and, where required, their consent;
- attempt to gain unauthorised access to the Platform, or interfere with its security or operation;
- scrape, harvest, crawl, index or extract data from the Platform by any automated means, or use the Platform's outputs to build, train or populate a competing database, product or model, without our prior written permission;
- circumvent, disable or test any rate limit, access control, masking, paywall or usage quota, or attempt to re-identify any person whose details the Platform has masked;
- use the Platform to send spam or unsolicited marketing in breach of applicable law; or
- use the Platform in any way that could damage, disable, overburden or impair it.
6.2Professionals
In addition to Clause 6.1, if you are a Professional you warrant that:
- you have the legal right to work in, and to provide your services from, your stated location, and that your self-declared visa and residency status is accurate and kept up to date;
- where your visa or employment status requires it, you have obtained any necessary No Objection Certificate (NOC) or permission before accepting an Engagement;
- your CV, experience, qualifications, credentials and rates are true and current;
- any Content you upload is yours to upload, and does not contain the personal data of another person, including a referee, colleague or client, that you are not entitled to share; and
- you will deal honestly and professionally with Businesses.
6.3Businesses
In addition to Clause 6.1, if you are a Business you warrant and agree that:
- you will comply with all applicable laws in any Engagement, including the labour, immigration, work-permit and tax requirements that apply where the work is done;
- you will use the Platform, and any Content, personal data, CV, AI Output or Screening Video obtained through it, solely to evaluate and engage talent for the role for which you obtained it, and for no other purpose, and in particular not for unlawful discrimination, not to build a marketing, profiling or candidate database, and not to train any machine-learning model;
- you will not disclose, resell, syndicate or otherwise make available to any third party the identity, contact details, CV or AI Output relating to any Professional, except to those of your own personnel and professional advisers who need it for that role and who are bound to equivalent obligations, and you are responsible for ensuring that they comply with those obligations;
- you are a separate and independent controller of any personal data of Professionals that you receive, and you will handle it in compliance with applicable data protection law, including keeping it no longer than you need it for that role;
- you are responsible for your own due diligence, reference checks and verification before entering into any Engagement, and you will not treat anything on the Platform as a substitute for it; and
- you will not make any decision that produces legal or similarly significant effects for a Professional on the sole basis of an AI Output, without meaningful human involvement. An AI Output is a suggestion for you to evaluate, not a recommendation by FlexPerts (Clauses 3 and 9).
7.Communications Between Users, and Identity Masking
In short: a Business sees a Professional's identity only after paying to Unlock it, and a Professional sees which Business is behind a role only once the Platform reveals it. The Platform mediates the identities of both sides, and both sides should understand where the boundaries are.
- A Business does not see a Professional's identity, contact details or CV until it pays to Unlock that profile. Before that point, profiles are shown in a masked form. The Platform decides which profiles are shown to a Business, in what order, and which of them the Business may Unlock, and we may change any of that at any time.
- A Professional does not see which Business is behind a role until the Platform reveals it, for example when they are shortlisted. Until then, a Business must not identify itself in what it writes to a Professional, and it is responsible for what it writes. The Platform checks what a Business writes before then, such as an invitation or a message about a decision on an application, for details that identify the Business, and may ask the Business to remove them, hold a message until a person has checked it, or not deliver it.
- These automatic checks are a best-effort safeguard, not a guarantee. They work by recognising patterns in text, so a name that is disguised, or described rather than written, can get through. We do not warrant that masking is complete or that a determined User cannot infer an identity, and each User remains responsible for what they choose to write.
- You must not attempt to defeat either masking boundary, and you must not use the Platform to solicit a User to move off it before the relevant boundary has been passed.
Conduct in communications
Every communication you send through the Platform, including invitations, messages, screening answers and any messaging or community feature we offer, must be professional and lawful. You must not send anything abusive, threatening, harassing, discriminatory, hateful, obscene, deceptive or defamatory, or any unsolicited marketing, and you must not use a communication to get around the masking in this Clause. We may review communications sent through the Platform, by automated means and by people, to apply that masking, to enforce these Terms, to detect fraud and abuse, and to keep the Platform safe, and we may disclose them where the law requires it or to establish, exercise or defend a legal claim. The Privacy Policy explains what we keep about communications and for how long.
Public visibility of your masked profile
If you are a Professional, a masked version of your profile is published on a public page of the Platform that can be viewed by anyone, without an account. This is how Businesses can see the talent on the Platform before they join; once signed in, a Business can also search the Platform for Professionals and invite them to its roles.
- Masked means without your name, photograph or contact details: you appear under a reference code, with a single character taken from that code in place of your initials, and a short professional summary such as your city, headline, the kinds of work you do, your experience, how many hours you are available and how you like to work. Your name, contact details, CV, photograph, rate and visa status are not shown, and nor is whether you are actively looking. The Privacy Policy lists exactly what appears.
- You may opt out at any time in your account settings. Opting out removes you from the public page only; it does not affect your visibility to Businesses signed in to the Platform, or how you are matched to roles.
- We ask search engines not to index that page and we limit how quickly it can be read in bulk. As with any public page, we do not warrant that no third party will copy, cache or republish what is visible on it.
- You remain responsible for what you put in your profile. Anything you write in a free-text field may appear on that page, so do not include your contact details or anything you would not want a stranger to read.
- Where we invite you by email to confirm that we may include you in this public directory and you agree, that agreement is also your acceptance of these Terms and of the Privacy Policy in the versions linked in that invitation. We record which versions you were shown.
The Privacy Policy sets out exactly which fields appear on that page and which do not.
8.Profile Information, and the Limits of Our Verification
In short: every profile is the person's own account of themselves. We may check some of what we are told and tell a Business what was checked, and no check, badge or word on the Platform is a guarantee. Profiles, CVs, role descriptions and declarations on the Platform are supplied by the Users they describe, and each User is responsible for what they supply. You acknowledge that:
- we may carry out checks. To support trust on the Platform we may check information a User gives us against other sources, for example by collecting information about a Professional from publicly available sources such as a public professional profile, by confirming that a contact detail such as a telephone number is in the person's control, or by using a third-party checking service; we may repeat a check from time to time, and we may ask a User to confirm or correct what we find. We may also indicate on the Platform what has been checked and what has not;
- every check is limited and indicative. A check compares what we are told with another source. It is not a background, identity, qualification, employment-history, criminal-records, credit or right-to-work check unless we say so expressly, and we do not hold copies of identity documents;
- we do not guarantee any information on the Platform, whether supplied by a Professional or by a Business, and whether or not any indicator, score, badge or word such as "vetted", "curated", "checked" or "qualified" appears against it. Those words describe the operation of the Platform's own controls and do not mean that any person or company has been independently verified, screened or approved by FlexPerts; and
- each Business remains solely responsible for its own due diligence and verification before entering into an Engagement, and each Professional for satisfying themselves about a Business.
Where we collect information about a User from publicly available sources or from a third-party service, we do so in accordance with our Privacy Policy, and where the law requires your consent for a check we ask for it first.
9.Automated Processing and Artificial Intelligence
9.1What we do automatically
In short: our software reads CVs and roles, scores and ranks them, and suggests matches. It also learns from how the Platform is used. You agree that we use automated systems, including artificial intelligence and machine-learning models operated by third-party providers on our behalf, to operate the Platform. In particular we may:
- read and structure CVs and profile text into a standardised profile, extracting skills, roles, seniority, experience and similar attributes;
- create numerical representations ("embeddings") of profiles and job descriptions so that they can be compared at scale;
- read and structure job descriptions posted by Businesses, and help Businesses draft them;
- score, rank, filter and order Professionals against a role, and Businesses' roles against a Professional, using a combination of these automated readings and arithmetic applied to declared facts such as hours, rate, location, working arrangement and work authorisation;
- generate written assessments of how well a Professional appears to fit a role, including strengths and gaps;
- operate the Assistant described in Clause 11; and
- learn from how the Platform is used, for example which suggestions Businesses invite, shortlist or engage and how people respond to what we send them, in order to develop, evaluate and improve the Platform, our matching, our models, our processes and our communications.
9.2What we do to reduce what leaves the Platform
Before a CV or profile text is sent to a third-party provider for reading, we automatically remove contact details and personal characteristics such as date of birth, nationality, marital status, gender and religion, because none of that is needed to understand a career.
This means a provider sees your experience without your identity details. A career history can still identify a person on its own, so we treat what is sent as personal data and the Privacy Policy applies to it in full. The removal works by recognising patterns, so it can miss a detail written in an unusual way; when you tell us that we missed something, we keep a note of the pattern it took, which is not linked to you or your profile, so that we catch that shape automatically for the next person. Where a CV is a scan rather than a text document, reading it means sending images of the pages, so anything printed on them, including a photograph, is sent as it appears; we ask for your specific agreement before doing that.
We send Content for Automated Processing only to providers that are bound by written terms under which they process it on our instructions and may not use it to train their own models, and whose protection for it, in every place where they may process it, we have assessed as adequate. Because this processing may send your personal data outside the UAE, we ask for your separate, explicit consent before it happens, as described in the Privacy Policy, and we record it. Accepting these Terms is not by itself that consent. You may withdraw the consent at any time as described in the Privacy Policy, though we may then be unable to provide the parts of the Platform that depend on this processing. For a Business, a withdrawal by anyone who uses the Platform for it pauses the automated processing of all of that Business's postings until the consent is given again at that Business, as the Privacy Centre explains; the postings stay live and keep receiving applications.
9.3Suggestions, not decisions
Everything the Platform produces about a person is a suggestion for a human to evaluate. FlexPerts does not decide who is hired, does not recommend that any person be engaged or rejected, and does not represent that any score, ranking or assessment is accurate, complete, fair or fit for any purpose. Any reliance a Business places on an AI Output is at its own risk and does not transfer to us.
9.4Automated ordering and filtering, and what it means for a Professional
You should understand that automated processing affects what is shown to whom:
- profiles are ranked and ordered, so a Business is more likely to see some profiles than others;
- profiles that score below internal thresholds are not proactively suggested to a Business; and
- a Professional may therefore not be surfaced to a Business for a given role, without any person having considered them.
This never blocks a Professional from using the marketplace. A Professional can always browse roles and apply to any role directly, and an application is always delivered to the Business regardless of any score. Screening answers may be flagged to the Business but never cause an application to be rejected automatically.
9.5Your right to object to profiling
A Professional may object to being evaluated by our automated systems, at any time, from the Privacy Centre in their account. If you object:
- our systems stop evaluating you and any assessment already generated about you is deleted;
- you are no longer proactively suggested to Businesses; and
- you keep full use of the rest of the Platform, including browsing and applying to roles.
We may still apply arithmetic to the facts you have declared, such as your stated hours, rate and location, in order to place your application in a list. How to object, and what happens when you do, is set out in the Privacy Policy.
9.6AI Outputs are our material
AI Outputs are generated by us, are our working material, and belong to us. You agree that:
- AI Outputs are not part of the Content you provide and you acquire no rights in them;
- the scores, rankings and written assessments our systems produce to suggest Professionals to Businesses are our working notes on fit for a particular role; they are not shown to the Professional they describe, whether as part of their profile or during the application process, and we are not obliged to display them. A Professional may see a separate match indicator on roles suggested to them, calculated from what they and the Business have stated and from how closely the two correspond; it is a guide for the Professional and not the assessment a Business sees. Any request to access the information we hold about you is handled as set out in the Privacy Policy; and
- we may retain, correct, regenerate and delete AI Outputs at our discretion.
9.7Derived Data
We may create Derived Data from Content and from use of the Platform, including from how Businesses and Professionals respond to suggestions, invitations and the messages we send, and we own it. We may use Derived Data for any lawful business purpose, including operating, securing, evaluating, developing and improving the Platform, our models and our processes, producing market insight, and creating new products and services. Derived Data does not identify any individual and we will not publish it in a form that does.
9.8Changing how, and where, this is done
The providers, models, techniques and locations used for Automated Processing will change over time, and we may change any of them at any time, including by adding new providers, new categories of processing and new processing locations. Where such a change materially alters how your personal data is handled, we will update the Privacy Policy and give notice in accordance with Clause 5. We keep improving how matching works, so scores, rankings and assessments can change as our models, weights and techniques change, including for a role that is already open. We aim to avoid disruption, and we do not promise that any score, ranking or assessment will stay the same.
10.Platform Fees and Payment
10.1Professionals are never charged
In short: Professionals never pay. Businesses pay for plans and Tokens at the prices shown when they buy, plus any tax the law requires. Paid plans renew until cancelled, and fees are not refundable except where the law requires. Creating and maintaining a Professional's profile, browsing roles and applying to them is free to Professionals, and we do not charge Professionals any fee, commission or deduction of any kind.
10.2What we charge Businesses for
FlexPerts charges Platform Fees solely for access to and use of the Platform. These consist of:
- plans, which may include an allowance of Tokens and a number of live job postings, as our pricing page describes. A paid plan is a subscription billed in advance for the period you choose, such as a month, a quarter or a year; and
- Tokens, bought singly or in bundles, which are spent on paid features such as Unlocks and live job postings beyond your plan's allowance.
Current prices, and what each plan includes, are shown on our pricing page and when you buy. All Platform Fees are stated exclusive of VAT and any other applicable tax, which is added where required by law.
10.3Tokens and Unlocks
- Tokens have no cash value, are not transferable and are not redeemable for money.
- Each Token is valid for the period shown on our pricing page and in your billing area when it is added to your account, whether you bought it or it came with your plan, and it expires at the end of that period.
- Anything that costs Tokens, such as an Unlock or a live job posting beyond your plan's allowance, shows its cost before you confirm, and no Token is spent without your agreement.
- An Unlock gives access for the window shown on the Platform when you Unlock, after which the profile is masked again unless it is unlocked afresh.
- When a Business's last remaining account is closed, all of its remaining Tokens of every kind are forfeited, and they are not restored if it later subscribes again or opens a new account.
10.4Plans
- A Business may hold one plan at a time.
- Where you pay by card, your plan renews automatically at the end of each billing period, and the renewal is charged to your card, until you cancel it.
- What a plan includes, and how its allowance is provided over the period you pay for, is shown on our pricing page.
- Cancelling. You may cancel at any time from your billing area. Cancellation takes effect at the end of the period you have paid for, and you are not charged again; your plan continues until then.
- Changing plan. You may change your plan from your billing area. Before you confirm, you are shown when the change takes effect, what you will pay, and any credit or change to your Tokens that it involves. For example, moving to a higher-priced plan may start it straight away, with a credit for what remains unused of your current plan, and moving to a lower-priced plan may take effect at your next renewal. A credit may reduce what you pay but is never paid out as money. We may limit which changes can be made part-way through a billing period.
- When a Business's last remaining account is closed, its plan ends: it is not charged again, and no further allowance is added.
10.5Billing, taxes and refunds
- Platform Fees are payable by the payment methods shown at checkout. Card payments are processed by our third-party payment provider on its own secure pages, where you can also manage your card and see your invoices. We do not store full card numbers.
- Except where required by law, Platform Fees are non-refundable, including for any part of a billing period that remains after you cancel or change plan, and an Unlock is non-refundable once it has been made, whether or not the Business contacts the Professional or proceeds to an Engagement. We may give a refund or credit in a particular case at our discretion; doing so does not oblige us to do the same again.
- You are responsible for any costs we incur from an invalid or fraudulent chargeback.
- We may change Platform Fees, or what a plan includes. We will tell you before a change to your plan takes effect, and no change applies to a period you have already paid for; if you do not want to continue on the new terms, you may cancel before your next renewal.
10.6What we do not handle
FlexPerts does not process, hold, escrow, invoice, guarantee or take any commission on the fees payable between a Business and a Professional for an Engagement. All such payments are made directly between them, on terms they agree. FlexPerts has no liability for, and no involvement in, the invoicing, payment, non-payment, late payment, refund or dispute of any Engagement fees.
11.The Assistant
In short: the Assistant is an AI that gives general information. It takes no actions on your behalf, gives no advice, and, like any AI, can be wrong. The Platform may make available an automated chat assistant.
- The Assistant is an artificial intelligence, not a person, and it takes no actions: it cannot apply, post, shortlist, unlock, purchase, send or delete anything on your behalf.
- It provides general information only. Nothing it says is legal, immigration, tax, financial or professional advice, and nothing it says creates any obligation on FlexPerts or varies these Terms. Where it answers a question about UAE employment law it does so from official source material; the Arabic text of UAE law prevails, the DIFC and ADGM free zones have their own employment laws which are not covered, and for your own situation you must consult MOHRE or a qualified professional.
- Like any AI, it can be wrong, so check anything that matters before you rely on it. To the fullest extent permitted by law we accept no liability for any action you take or do not take on the basis of anything it says.
- Conversations are stored for a limited period as described in the Privacy Policy, so do not enter anything you would not want stored, including anyone else's personal data. We may change, limit, suspend or withdraw the Assistant at any time, including what it will answer and for whom.
12.Screening Videos
In short: a video is always optional, only people watch it, and it is deleted after the role closes. Where a Business opts into video screening for a role, a Professional applying to that role may be invited to upload a short pre-recorded video of themselves.
- It is always optional. Declining never affects your access to the Platform or your application, and you may withdraw your consent at any time, after which the video is deleted.
- We ask for your separate, explicit consent first, because a video contains your image and voice and we treat it as sensitive personal data. That consent is never pre-ticked and is not bundled into these Terms or into sign-up; it identifies the role, tells you that the video is deleted a set time after the role closes, within the period the Privacy Policy states, and is recorded.
- Videos are watched by people, not by machines. We do not transcribe, analyse, score, rank or apply facial, emotion or voice analysis to any Screening Video, and we do not use one to train or evaluate any model.
- A Business that receives a video may use it only to assess that Professional for that role, within the Platform, on the same terms as any other Content it obtains under Clause 6.3; it may not download, copy, retain or share it.
- A video is kept only for the role it was recorded for. It is deleted as the Privacy Policy describes: within the period it states after the role closes, and sooner if you withdraw consent or ask for deletion.
13.No Circumvention of the Platform
In short: if you found someone here, do not go around the Platform to avoid the fee. The introductions facilitated by FlexPerts have value, and the Platform is paid for by Businesses at the point of introduction rather than by commission on any Engagement.
Where a Business has discovered a Professional through the Platform, the Business agrees that it will not deliberately structure its dealings so as to avoid a Platform Fee that would otherwise be payable, for example by identifying a Professional through the Platform and then obtaining their contact details by other means specifically in order to avoid unlocking the profile.
If a Business does so, the Platform Fee it avoided becomes payable, and we may suspend or close its account. Nothing in this clause restricts a Business from engaging any person it already knew, or from engaging any Professional after paying the applicable Platform Fee, and no fee, commission or share of any Engagement is payable to FlexPerts at any time.
14.Intellectual Property, Content and Feedback
In short: you own what you upload; we own the Platform and what our systems produce. We may use your Content to run and improve the Platform, and we never let a provider train its models on it.
- FlexPerts and its licensors own all intellectual property rights in the Platform, including the "FlexPerts" name and brand, the software, design, text, graphics, taxonomies, AI Outputs and Derived Data. The "FlexPerts" brand is owned by VIVAHR People Consultants - FZCO.
- We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose, subject to these Terms.
- You retain ownership of Content you submit. You grant FlexPerts a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, translate, display, process by automated means, and otherwise use that Content as necessary to operate, secure, evaluate, develop and improve the Platform and to provide it to other Users, as described in these Terms and the Privacy Policy. This licence ends when the Content is deleted, except to the extent it survives in Derived Data or in records we are required to keep. We do not allow any third party to use your Content to train its own models, and we do not use your Content to train any general-purpose AI model. We may use Content, AI Outputs and how the Platform is used to develop, evaluate and improve the Platform and our own models and processes, as described in Clause 9 and the Privacy Policy.
- Feedback. If you send us any suggestion, idea or feedback about the Platform, including a proposed addition or correction to the skills library or to any other vocabulary the Platform uses, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or obligation to you.
15.Availability, Changes and Beta Features
In short: we keep improving the Platform, so features can change, and we do not promise a service level unless we have agreed one with you.
- The Platform is provided on an "as is" and "as available" basis. We do not commit to any service level, uptime target or response time unless we have agreed one with you in a separate written agreement.
- We may add, change, suspend or remove any feature at any time, and may make the Platform or any part of it unavailable for maintenance. Where a change materially reduces what a paid plan includes, we will tell you before it takes effect, and Clause 10.5 applies.
- We may set limits on how much of the Platform, or of a feature, can be used in a period, for example how many invitations a Business may send in an hour or how many conversations the Assistant will hold, and limits may differ between signed-in Users and visitors. We may change those limits at any time.
- Validity periods for Tokens, Unlocks and plans continue to run while the Platform or a feature is unavailable. We may extend one as a goodwill gesture, and we are not obliged to.
- If we withdraw the Platform permanently, we will give you notice where we reasonably can. Platform Fees already paid are not refunded, and unused Tokens and Unlock windows are not compensated, except where the law requires.
- We may make features available on a trial, preview or beta basis. Those features may be incomplete, may change without notice, may be withdrawn, and are provided without any warranty of any kind.
- The Platform may contain links to third-party websites and services which we do not control and are not responsible for.
16.Disclaimers
In short: we do not guarantee results, other Users, or the accuracy of anything the Platform produces.
- We do not warrant that the Platform will be uninterrupted, timely, error-free or secure, or that any defect will be corrected.
- We do not guarantee that a Business will find suitable talent, that a Professional will find work, or any particular outcome, response, timescale or quality from any Engagement.
- We make no representation or warranty as to the identity, qualifications, immigration or visa status, right to work, solvency, conduct or reliability of any User.
- We make no representation or warranty as to the accuracy, completeness or fairness of any AI Output, score, ranking or assessment.
- Any reliance you place on Content, on an AI Output, on the Assistant, or on another User is at your own risk.
17.Limitation of Liability
In short: our liability to you is capped at what you paid us in the last twelve months, or AED 1,000 if more, except where the law does not allow a cap.
- Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, for death or personal injury caused by negligence, or for wilful misconduct.
- Subject to the preceding bullet, FlexPerts shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, opportunity, goodwill, anticipated saving or data, or for any loss arising out of any Engagement or dealing between Users, out of any reliance on an AI Output or on the Assistant, out of any interruption or unavailability of the Platform, or out of any loss or corruption of, or unauthorised access to or disclosure of, data held on the Platform, however caused.
- Subject to the first bullet, FlexPerts's total aggregate liability arising out of or in connection with these Terms and your use of the Platform shall not exceed the greater of (a) the total Platform Fees paid by you to FlexPerts in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) AED 1,000.
- FlexPerts is not liable for any dispute between a Business and a Professional, which Users agree to resolve directly between themselves, and we are not obliged to take part in one except where the law requires.
18.Indemnity
You agree to indemnify and hold harmless FlexPerts (VIVAHR People Consultants - FZCO) and its officers, employees and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) any Content you provide; (c) any Engagement you enter into; (d) your use, disclosure, retention or processing of any personal data, CV, AI Output or Screening Video obtained through the Platform; or (e) your breach of any applicable law or of any third party's rights.
19.Suspension and Termination
In short: you can leave at any time; we can suspend or close accounts that break these Terms; some records must be kept after closure.
- You may stop using the Platform and close your account at any time from your account settings, subject to Clause 10 (no refund of fees already paid, except where required by law).
- We may suspend, restrict or terminate your access, or remove any Content, at our reasonable discretion, including where we believe you have breached these Terms, provided false information, attempted to circumvent a masking boundary or a fee, or created risk or harm to other Users or to FlexPerts.
- We may also close an account that has been inactive for a long period, after trying to contact you, as described in the Privacy Policy.
- Closing an account does not delete records we are required to keep, including billing and tax records and a record that a deletion took place. What is deleted, what is retained and why is set out in the Privacy Policy.
- On termination, the clauses that by their nature should survive, including Clauses 3, 6.3, 9, 12, 13, 14, 16, 17, 18 and 22, continue to apply.
20.Notices and Electronic Communications
You agree that we may give you notices and communications relating to the Platform electronically, by email to the address on your account or by a notice within the Platform, and that these satisfy any legal requirement that such communications be in writing. It is your responsibility to keep your email address current. Notices to us should be sent to the address in Clause 23. The Privacy Policy describes the information we may collect about how you interact with the messages we send you and with the Platform, and what we use it for.
21.Force Majeure
We are not liable for any failure or delay in performing our obligations where that failure or delay results from an event beyond our reasonable control, including act of God, war, armed conflict, civil unrest, terrorism, epidemic, government action, failure of a utility, telecommunications or internet service, failure or unavailability of a third-party provider or data centre, or cyber-attack.
22.Governing Law and Dispute Resolution
In short: talk to us first; otherwise the DIFC Courts in Dubai, in English. These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including any non-contractual dispute or claim), are governed by the laws of the Dubai International Financial Centre, without prejudice to any law of the United Arab Emirates that applies regardless of the parties' choice. If a dispute arises, please contact us first at hello@flexperts.pro: we will try to resolve it with you within 30 days. You and FlexPerts agree that the Courts of the Dubai International Financial Centre (the DIFC Courts) have exclusive jurisdiction to settle any dispute that is not resolved that way, and each of us irrevocably submits to that jurisdiction.
These Terms are drafted in English. Where a translation is provided, the English version prevails.
23.General
- If any provision of these Terms is found unenforceable, it is severed and the remaining provisions continue in full force.
- Our failure to enforce any right is not a waiver of that right.
- You may not assign or transfer your rights under these Terms without our written consent. We may assign, novate or transfer ours to an affiliate or to a successor in connection with a merger, acquisition, restructuring, financing or sale of all or part of our business or assets, without your consent; the successor takes on our obligations to you under these Terms and the Privacy Policy.
- Nothing in these Terms creates any right in favour of any person who is not a party to them.
- These Terms, together with the Privacy Policy, form the entire agreement between you and FlexPerts regarding the Platform, and supersede any prior understanding.
- The sentences beginning "In short" that open clauses of these Terms, and the section headed "The short version", are there to help you read the Terms. They do not form part of the agreement and are not binding; if one of them differs from a clause, the clause applies.
